A message from Monique Porlier, VON Canada Board Chair
VON is a Canadian non-profit organization providing home and community care services, dating to its founding in 1897. VON is governed by a Board of Directors, bringing together leaders in the fields of health care, nursing, management, finance, law, human resources and information technology.
With decades of volunteer service in communities across Canada, VON’s Directors understand the health and social concerns facing Canadians today. Throughout their careers, many have actively advocated for a stronger health-care system in Canada. And they all share a passion for helping others and making a difference. VON relies on the Board’s guidance for moving VON forward in its mission of building a healthier society for all Canadians.
Biographies
Board Committees
The Board has a number of standing committees, which exist to support the Board’s oversight responsibilities and effective governance of VON Canada. In addition, the Board may introduce additional standing or ad-hoc committees required to support the Board, including particular strategic initiatives or those requiring specialized expertise.
Executive Committee
The Executive Committee facilitates the efficient and effective operation of the Board of Directors by acting on behalf of the Board, particularly between meetings and / or in matters of an urgent nature. Composed of the Chairs of VON’s Board Committees, as well as the Chair and Vice-Chair of the Board, the Executive Committee enables the Board to operate in an agile, responsive manner to support VON’s mission, vision and values.
Governance Committee
The Governance Committee supports the Board to ensure there are structures and processes in place to enable effective corporate governance. The Governance Committee provides oversight to ensure the Board is operating in compliance with law and governance best practices, including making recommendations with respect to Board composition, the Board nomination process, orientation and continuing education for the Board.
Finance and Audit Committee
The Finance and Audit Committee assists the Board in fulfilling its responsibilities relating to financial management, including recommending for approval the annual budget, the audit process, financial reporting and corporate controls and financial risk management processes. It also provides advice to management on IT matters and reports to the Board on VON’s information security and cybersecurity risk and mitigation measures.
Human Resources Committee
The HR Committee provides guidance and oversight on human resource issues affecting VON, ensuring leadership in being the organization of choice in the home and community care sectors. In particular, the HR Committee provides guidance on labour relations, employment matters and respecting assessment and succession planning for the office of the President and CEO.
Quality Risk and Client Safety Committee
The Quality Risk and Client Safety Committee ensures excellent quality of services provided by VON. The Committee provides oversight of risk management in VON service delivery, assessing risks and mitigation factors, including processes, tools and practices to ensure a culture of client safety, quality care and protection of client privacy.
Pension Committee
The Pension Committee oversees plan administrator and sponsor functions relating to the VON Canada Pension Plan. The Committee acts in the best interests of Plan members, exercising care, diligence and skill in the administration of the Plan and the investment of the pension funds. The Committee reviews and monitors the pension fund’s investment performance; oversees regulatory compliance and filings; review Plans governance structure and administration policies, and makes recommendations to the Board.
